Terms and Conditions

Effective Date: September 1, 2025

These Terms and Conditions govern access to and use of the Intelligent Safety Portal platform operated by Sajjeel Labs Inc.

1. Definitions

For purposes of these Terms:

Customer

The entity that has entered into a subscription agreement with Sajjeel Labs for use of the Platform.

User

An individual authorized by a Customer to access and use the Platform under Customer's subscription.

Customer Data

All information, records, and content submitted by Users into the Platform, including safety-related reports, training records, inspection results, and other operational data.

Confidential Information

All non-public information disclosed by one party to the other, whether oral, written, or electronic, that is designated confidential or that should reasonably be understood to be confidential.

2. Agreement Structure

These Terms form part of the binding agreement between Sajjeel Labs and the Customer, together with any executed subscription agreement, order form, or statement of work. In the event of conflict, the subscription agreement shall prevail.

3. Access and Use of the Platform

License Grant

Sajjeel Labs grants Customer and its authorized Users a limited, non-exclusive, non-transferable right to access and use the Platform during the subscription term.

Restrictions

Users may not:

Copy, modify, or create derivative works of the Platform

Reverse engineer, decompile, or otherwise attempt to derive source code

Sell, sublicense, or make the Platform available to third parties except as expressly permitted

Use the Platform for unlawful or unauthorized purposes

4. Customer Responsibilities

Customer is responsible for ensuring that Users comply with these Terms

Customer is responsible for the accuracy, quality, and legality of Customer Data

Customer must ensure that login credentials are safeguarded and that unauthorized access is prevented

5. Service Availability and Support

Sajjeel Labs will use commercially reasonable efforts to maintain availability of the Platform

Support inquiries may be submitted to support@intelligentsafetyportal.com

Planned maintenance will be communicated in advance whenever possible

6. Fees and Payment

Fees for the Platform are set forth in the applicable subscription agreement or order form

Unless otherwise agreed, all fees are due as invoiced

Fees are exclusive of applicable taxes, which shall be the responsibility of the Customer

7. Data Ownership and Use

Customer retains ownership of all Customer Data

Sajjeel Labs is granted a limited license to process Customer Data solely to provide the Platform and related services

Sajjeel Labs will not access, use, or disclose Customer Data except as necessary to provide services, comply with law, or enforce its rights

8. Confidentiality

Each party agrees to maintain the confidentiality of the other's Confidential Information and not disclose it to third parties except as permitted

Confidential Information does not include information that is publicly available, lawfully obtained without restriction, or independently developed

9. Privacy and Data Protection

Sajjeel Labs will collect, use, and disclose information in accordance with its Privacy Policy. By using the Platform, Customer and Users acknowledge and agree to such practices.

10. Intellectual Property

All intellectual property rights in the Platform, including software, design, trademarks, and documentation, are and shall remain the exclusive property of Sajjeel Labs. No rights are granted other than those expressly set forth in these Terms.

11. Warranties and Disclaimers

Sajjeel Labs warrants that it will provide the Platform in a professional and workmanlike manner. Except as expressly provided, the Platform is provided "as is" and "as available." Sajjeel Labs disclaims all other warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

Customer agrees to indemnify, defend, and hold harmless Sajjeel Labs from any claims, damages, or liabilities arising from Customer's or Users' misuse of the Platform or violation of these Terms. Sajjeel Labs agrees to indemnify Customer for any claims alleging that the Platform infringes a third-party intellectual property right, provided Customer promptly notifies Sajjeel Labs and allows it to control the defense.

13. Limitation of Liability

To the maximum extent permitted by law, Sajjeel Labs shall not be liable for indirect, incidental, consequential, special, or punitive damages. Sajjeel Labs' aggregate liability under these Terms shall not exceed the fees paid by Customer in the twelve (12) months preceding the event giving rise to the claim.

14. Term and Termination

These Terms remain in effect for as long as Customer has an active subscription. Either party may terminate for material breach not cured within thirty (30) days of notice. Upon termination, Customer may request retrieval of Customer Data within ninety (90) days, after which it will be permanently deleted.

15. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall first be attempted to be resolved through good faith negotiations. If not resolved, disputes shall be submitted to binding arbitration in Ontario, Canada.

16. Miscellaneous

Customer may not assign its rights under these Terms without prior written consent from Sajjeel Labs. Neither party shall be liable for delays or failures due to events beyond reasonable control. These Terms, together with the subscription agreement, constitute the entire agreement between the parties. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect. Sajjeel Labs may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the revised Terms.
